PARTIES
This Lead Sales Representative Agreement ("Agreement") is entered into as of the date signed below, by and between:
Company: Applanta Solutions ("Company"), a Georgia limited liability company, represented by Rudolph Miller, Founder & Owner.

1. INDEPENDENT CONTRACTOR STATUS
1.1 The Lead Representative is an independent contractor and not an employee of Applanta Solutions. The Contractor is responsible for their own taxes, insurance, and business expenses.
1.2 The Contractor will receive a 1099-NEC form for any calendar year in which total compensation exceeds $600.
2. SERVICES & SENIOR ROLE
2.1 The Contractor agrees to act as the Lead Sales Representative for Applanta Solutions, promoting and selling custom PWAs and websites to small and mid-size businesses.
2.2 As Lead Sales Representative, the Contractor holds a senior position with an elevated commission rate in recognition of their role in establishing and growing the sales operation. The Lead Representative is expected to use all Company-approved tools — ASET, DASH, and Prompter — and to model correct use of these tools for junior reps.
3. COMMISSION RATE — 40% BASE
3.1 The Contractor's base commission rate is 40% (forty percent) of the build fee for each completed sale. This elevated rate reflects the Contractor's senior role. Commission is earned on the one-time build fee or setup fee only.

3A. ALPHA APP BUILDER — 20% RECURRING COMMISSION
3A.1 The Lead Representative also earns a 20% recurring monthly commission on every ALPHA App Builder subscription they directly sign up.

3A.2 ALPHA recurring commission is paid monthly as long as the client maintains an active paid subscription. Log all ALPHA signups in ASET with Business Type: ALPHA Signup.
4. COMMISSION RATE FLEXIBILITY
4.1 The Company reserves the right to adjust the Contractor's commission rate up or down at any time, based on sales performance, monthly volume, market conditions, promotional periods, and overall business needs.
4.2 Any rate changes will be communicated in writing and will take effect on the next pay period following notice.
4.3 The Contractor acknowledges that commission rates are not guaranteed at any fixed percentage. The current 40% rate reflects the Contractor's senior position and may be reviewed periodically.
5. RUSH SERVICE ADD-ON
5.1 When a client requests expedited delivery (24–48 hours), the Lead Rep may add the Rush Service fee of $150 to the build total.
5.2 The Lead Rep earns $60 commission on each Rush Service fee sold (at the 40% base rate).
6. PAYMENT TERMS
6.1 Work Week: Monday through Sunday. Cutoff Sunday 11:59 PM.
6.2 Payday: Every Friday for previous week's sales (one week behind).
6.3 Commission is paid only after deposits clear through Stripe.
6.4 No commission on cancelled, refunded, or disputed transactions.
7. LEAD LOGGING REQUIREMENT
7.1 All leads must be logged through ASET. Unlogged sales are NOT eligible for commission.
8. CONFIDENTIALITY
8.1 The Contractor agrees not to disclose commission rates, internal operations, build platforms, client lists, pricing strategies, or any proprietary information. This obligation survives termination indefinitely.
9. NON-SOLICITATION & NON-COMPETE
9.1 During the term of this Agreement and for 12 months after termination, the Contractor shall not directly solicit Applanta clients for competing services.
10. TERMINATION
10.1 Either party may terminate at any time with written notice.
10.2 Contractor is entitled to commission on all sales with deposits cleared prior to termination.
11. GOVERNING LAW
11.1 This Agreement shall be governed by the laws of the State of Georgia.
12. ENTIRE AGREEMENT
12.1 This document constitutes the entire agreement between the parties.
