1. SERVICE DESCRIPTION

1.1 Applanta Solutions ("Provider") agrees to design, build, and deliver a custom Progressive Web App (PWA) and/or website for the Client as described below.

2. PAYMENT TERMS

2.1 50% deposit is due before build begins. Collected securely via Stripe payment link at time of agreement signing.

2.2 Remaining 50% balance is due upon Client approval before the app goes live. Collected via Stripe.

2.3 All payments are non-refundable once the app build has started.

2.4 Blueprint/Consultation fee ($100) is credited toward the total build cost if the Client proceeds within 90 days.

2.5 Monthly hosting/maintenance fee begins on launch date and is billed via Stripe on the same calendar date each month (anniversary of app delivery date).

2.6 A 5-day grace period applies after due date. A $10 late fee is added after 5 days.

2.7 Hosting may be suspended after 30 days overdue with 48-hour written notice.

2.8 Rush Service fee ($150, if elected) is due with the initial deposit.

2.9 Premium tier builds ($1,200–$2,000) are priced based on feature complexity. Final price is quoted and agreed upon in writing before payment is collected. For variable Premium quotes above $1,200, a custom Stripe invoice will be issued for the exact agreed amount.

3. REVISIONS

3.1 Client receives up to 2 rounds of revisions at no additional cost.

3.2 Additional revision rounds are billed at $50 per round.

3.3 Major feature additions after build approval require a new quote.

4. OWNERSHIP & LICENSE

4.1 Client owns all app content (text, images, branding, and business information) regardless of plan type.

4A — Monthly Subscription Clients

4.2 Applanta Solutions retains ownership of the underlying code and framework.

4.3 Client receives a perpetual license to use the app as long as monthly fees are current.

4.4 If monthly fees are discontinued, Applanta may deactivate hosting after 30 days written notice.

4B — Outright (One-Time) Buy Clients

4.5 Upon full payment of the agreed outright build fee, Client receives full ownership of the delivered source code.

4.6 Outright clients are billed $15/month for managed hosting (Firebase infrastructure, SSL, CDN). Hosting may be cancelled at any time with 30 days written notice.

4.7 30-Day Full Warranty: Any defects, errors, or bugs discovered within 30 calendar days of delivery will be corrected by Applanta Solutions at no charge.

4.8 Lifetime Bug Support: After the 30-day warranty period, Applanta Solutions will continue to repair defects originating in the original delivered code at no additional charge, for the life of the agreement, subject to the following conditions:

5. CLIENT RESPONSIBILITIES

5.1 Client agrees to provide all required content (business info, logos, photos, menu items, etc.) within 48 hours of signing this agreement.

5.2 Delays in providing content may extend the delivery timeline.

5.3 Client is responsible for the accuracy and legality of all provided content.

6. CANCELLATION

6.1 Client may cancel before build begins for a full refund minus any consultation fee.

6.2 Once build has started, all payments are non-refundable.

6.3 Either party may terminate the monthly hosting agreement with 30 days written notice.

7. LIABILITY LIMITATIONS

7.1 Applanta Solutions is not responsible for client-provided content, trademarks, or intellectual property infringement.

7.2 Applanta Solutions does not guarantee specific business outcomes, revenue, or customer acquisition.

7.3 Maximum liability is limited to the total amount paid by the Client.

7.4 Applanta Solutions is not liable for service interruptions caused by third-party hosting providers (Firebase, Cloudflare, Netlify).

8. COMMUNICATION & SUPPORT

8.1 Support hours: Monday–Friday, 9:00 AM – 6:00 PM EST.

8.3 Average response time: 24 hours on business days.

9. GOVERNING LAW

9.1 This Agreement shall be governed by the laws of the State of Georgia.

10. SUBSCRIPTION-TO-OUTRIGHT CONVERSION POLICY

10.1 Clients on a monthly subscription plan may convert to an outright (one-time) buy at any time during the life of the agreement.

Window 1 — Early Conversion (Within 30 Days / Before First Renewal)

10.2 If Client converts before the first monthly billing renewal, all payments made to date — including the consultation fee and first month's subscription — are credited in full toward the outright build price.

Balance Due = Outright Price − Consultation Fee − Monthly Payments Made

Window 2 — Standard Conversion (After First Billing Cycle)

10.3 After the first monthly renewal has processed, only the consultation fee ($100) is credited toward the outright price. Monthly subscription payments are considered compensation for services rendered (hosting, support, and active app management) and are non-refundable and non-creditable toward the outright price.

Balance Due = Outright Price − $100 (consultation credit only)

10.4 This balance remains the same regardless of how many months the Client has been subscribed. The conversion price does not increase over time.

10.5 To initiate a conversion, Client must contact Applanta Solutions at sales@applanta.app or dev@applanta.app before the next billing cycle processes to avoid being charged for an additional month.

Why Outright Ownership Saves Money Long-Term

10.6 The following example illustrates the total cost difference between a monthly subscription and an outright buy on a Standard Plan ($500 outright / $69/mo subscription) over time:
